Acquisition of Kelani Valley Canneries Ltd

C.W. Mackie PLC broadens its FMCG portfolio by acquiring KVC

C.W. Mackie PLC has announced its acquisition of an 88.23% stake in Kelani Valley Canneries Ltd. In a filing to the Colombo Stock Exchange, C.W. Mackie PLC stated that the company bought 30,351,222 ordinary shares of Kelani Valley Canneries Ltd. The seller was the CIC Group subsidiary CIC Agribusinesses (Pvt) Ltd controlled by the Captain family.

Kelani Valley Canneries Ltd., (KVC), a manufacturer and exporter of processed tropical fruits and vegetables, was established by the late R.L.P. Senewirathna. He incorporated the Company pursuant to conducting a study on the marketing feasibility of the products in 1968. The KVC factory was the first fruit processing plant in Sri Lanka to be certified for Organic Production. KVC products range from Jams, Cordials, Ketchup & Sauces, Ready to Drink Fruit Juices & Nectars, Fruit Pulps, Coconut Water, Canned Fruits and Chutneys. KVC is equipped to offer both thermally sterilized and frozen products.

In 1999, KVC went into partnership with the DSI Samson Group as an Associate Company. Since then, backed by their strength and assurance, KVC launched a full range of Jams, Cordials, Chutneys, Sauces, Pickles and Sambols into the Sri Lankan market. The business was subsequently acquired by CIC Group subsidiary CIC Agribusinesses (Pvt) Ltd which has held it from 2008 until the current sale to C W Mackie PLC.

 

Kotagala Plantations PLC in a major downstream acquisition

Kotagala Plantations PLC in a major downstream acquisition, from the Tea Leaf to the Tea Cup, buys controlling stake in Union Commodities (Pvt) Ltd, the 4th largest tea exporter in Sri Lanka for a purchase consideration of Rs.1,575,000,000/-. Kotagala Plantations PLC purchased 6,000,000 shares constituting 100% of the Issued Capital of Union Commodities (Pvt) Ltd (Unicom) for a price of Rupees One Billion Five Hundred and Seventy Five Million. Union Commodities (Pvt) Ltd, established in 1985 is a leading exporter of value-added teas from Sri Lanka and has consistently been ranked amongst the top 5 tea exporters for the past few years and is currently the 4th largest exporter of teas from Sri Lanka.

The Company enjoys a state of the art self-sufficient factory with an in-house advanced tea bagging facility, onsite purpose built storage facility, packaging facilities, and a shipping and a freight forwarding company fully owned by the group located in Kelaniya. In addition to tea, the Company is into export of other value-added commodities and food items such as sesame, cloves, pepper, and other foodstuff. Kotagala Plantations PLC is one of the largest Regional Plantation Companies involved in the cultivation and production of tea and rubber. Kotagala comprises of 12 tea plantations and 11 rubber plantations with the bulk of the Company’s tea cultivated in the Western High Grown Dimbulla District and in the Low Grown Kalutara District.

 

Market tops a billion, indices edge up

C.W. Mackie's Danish owners sell control to local party

January, 2010 - The sale of the controlling interest of C.W. Mackie & Co. PLC by its Danish owners to a local buyer boosted turnover on the Colombo bourse to Rs.1.7 billion, up from the previous day’s Rs.724.4 million, with both indices too edging up marginally – the All Share by 12.02 points (0.34%) and the Milanka by 3.93 points (0.10%) with 74 advancers slightly ahead of 68 decliners.

Lankem Group acquired the controlling shareholding of C.W. Mackie PLC, a listed food distribution and trading firm with its majority Danish shareholder Aarhus United A/S / AarhusKarlshamn (www.aak.com) exiting in a much anticipated stock market acquisition. Lankem Ceylon PLC said it had bought 36.71 percent of CW Mackie (13.2 million shares) and a group subsidiary had bought 19.85 percent (19.85 million shares).

Mackie has a strong island-wide distribution network for FMCG products such as Sunquick and Scan Products backed by a state of the art bottling plant for bottling of renowned Sunquick range of cordials under franchise and Scan drinking water. The company distributes Sunquick branded concentrated juices which is believed to be one of the most popular non-carbonated beverages in Sri Lanka and snacks such as Jumbo branded peanuts. Also the company is one of the largest exporters of Natural Rubber and Desiccated Coconut in Sri Lanka. The Company exports approximately 3,500MT of Crepe Rubber, 4,000MT of Tech.Sp.Rubber and 3,000MT of Desiccated Coconuts. The Company also imports and distributes approx 15,000MT of Sugar as well as import and resale of Industrial and Light Engineering products and agent for Hempel marine paint and protective coatings.
